  3. CONSIGNMENT SALES AGREEMENT

  5. ________________, referred to as SELLER, and _______________,
  6. referred to as CONSIGNMENT  MERCHANT, agree:

  8. ________________ consigns to _______________ the following goods:

  12. The title to the same shall remain at all times until a bona-fide
  13. sale in the owner of the consigned goods. OWNER may recall and
  14. take possession of the consigned property at any time.

  16. CONSIGNMENT MERCHANT shall sell the goods consigned to it by
  17. SELLER at a price not below the following minimums, all sales
  18. being for cash or cash equivalents:

  22. As compensation for sales made, CONSIGNMENT MERCHANT shall
  23. receive a commission of ____% per sale.

  25. CONSIGNMENT SELLER shall provide an accounting, under oath, or

  27. accompanied by payment in full for all sums due. Should any sums
  28. not be paid when due, then OWNER shall have the right, but  not
  29. obligation, to repossess all merchandise of OWNER's in CONSIGNMENT
  30. SELLERS possession. All sums due, but unpaid, shall bear interest
  31. at the highest legal rate applicable.

  33. CONSIGNMENT SELLER shall permit an audit by representatives of
  34. ________________ of all of its books and records, together with a
  35. physical inspection of the premises and inventory of goods at such
  36. times as OWNER may desire.

  38. CONSIGNMENT seller herewith grants a lien to OWNER in the proceeds
  39. of the sales of OWNER's goods.

  41. This agreement is for "sale or return." CONSIGNMENT SELLER shall

  43. either sell or pay for the goods, or return the same. Should
  44. CONSIGNMENT SELLER fail to pay or return the same within such
  45. time period, then the goods shall be deemed to be purchased by
